TERMS AND CONDITIONS
VIDIO SHOPPING
(hereinafter referred to as the “Vidio Shopping Terms”)
These Vidio Shopping Terms govern your use of the Vidio Shopping feature on the Vidio Platform. In order to access and use Vidio Shopping, you must first comply with the User Terms and Conditions as stipulated in the General Terms.
By accessing or using Vidio Shopping, you agree to be bound by these Vidio Shopping Terms, which constitute additional terms to the General Terms, Privacy Policy and/or other applicable terms and conditions related to the use of the Vidio Platform (collectively referred to as the “Terms and Conditions”). All capitalized terms not otherwise defined in these Vidio Shopping Terms shall have the meanings ascribed to them in the General Terms.
In the event of any inconsistency between these Vidio Shopping Terms and the Terms and Conditions, the provisions of these Vidio Shopping Terms shall prevail to the extent of such inconsistency.
Vidio Shopping
Vidio Shopping is a feature on the Vidio Platform that enables you to view products (“Products”) displayed while you are enjoying Content on the Vidio Platform.
You understand and agree that the Products displayed through Vidio Shopping are presented pursuant to a feature collaboration between Vidio and PT Shopee International Indonesia (“Partner”). Vidio merely provides the means for displaying the Products and links redirecting you to the website or mobile application operated by the Partner (“Partner Platform”). For the avoidance of doubt, Vidio is not the seller, owner, controller, or operator of the Products or any transactions related to the Products. The display of Products on Vidio Shopping shall not be construed as a recommendation, endorsement, approval, or sponsorship by Vidio of any such Products.
Access and Use of Vidio Shopping
Redirection to the Partner Platform
By clicking on a Product displayed on Vidio Shopping, you will be redirected to the Partner’s Platform. All activities, interactions, and transactions conducted after you are redirected to the Partner’s Platform are entirely beyond Vidio’s control. You understand and agree that your use of the Partner Platform is subject to the terms and conditions and privacy policies determined by the Partner.
Purchase of Products on the Partner’s Platform
All transactions relating to Products displayed through Vidio Shopping are conducted entirely on the Partner’s Platform and constitute a direct contractual relationship between you and the Partner and/or the relevant seller.
Vidio’s responsibility in relation to Vidio Shopping is strictly limited to displaying Products and providing links to the Partner’s Platform. Vidio does not act as a seller, agent, transaction service provider, or platform provider.
Accordingly, Vidio does not and shall not be responsible for the following:
managing, facilitating, authorizing, or otherwise participating in any Product transactions;
receiving, collecting, processing, storing, verifying, or managing payments in any form or through any method;
arranging, coordinating, or being responsible for the delivery, exchange, return, cancellation, replacement, or refund of Products;
making any representations, warranties, or guarantees regarding the availability, quality, legality, authenticity, accuracy, completeness, security, timeliness of information, or suitability of the Products; and
acting as a party, representative, intermediary, organizer, guarantor, responsible party, or stakeholder in any legal, commercial, contractual, or other relationship between you and the Partner or Product seller.
All risks, including but not limited to the risk of non-conforming Products, payment risks, fraud risks, delay risks, delivery risks, and any other risks inherent in Product transactions, shall be borne entirely by you, the Partner, and/or the relevant seller, in accordance with the applicable terms and conditions on the Partner’s Platform.
Any questions, claims, or complaints relating to Products and/or transactions on the Partner’s Platform must be submitted directly to the Partner and/or the relevant seller. You understand and agree that Vidio has no obligation to respond to, process, or resolve such complaints.
Feature Availability
Vidio reserves the right, at its sole discretion, to: (1) modify, adjust, limit, or update Vidio Shopping; (2) suspend the provision of Vidio Shopping, in whole or in part; and/or (3) permanently or temporarily discontinue Vidio Shopping.
You hereby acknowledge and agree that Vidio shall not be liable for any losses arising out of or in connection with such modification, suspension, or discontinuation. However, Vidio will use commercially reasonable efforts to notify you if any of the actions referred to in items (1) through (3) above are to be taken.
Legal Provision
Indemnification. You are fully responsible for any use of Vidio Shopping. You hereby agree to indemnify, defend, and hold harmless Vidio from and against any and all claims, losses, liabilities, or costs arising out of or in connection with: (a) your breach of Vidio Shopping Terms; (b) your unlawful use of Vidio Shopping; and/or (c) any transactions, interactions, or disputes between you and the Partner or Product seller.
Limitation of Liability. To the fullest extent permitted by applicable law, you hereby agree that Vidio shall not be liable for any direct or indirect, incidental, or consequential losses arising out of or in connection with your use of or inability to use Vidio Shopping.
Personal Data. All of your Personal Data collected, stored, used, and/or processed by Vidio in connection with your access to and/or use of Vidio Shopping shall be subject to the Privacy Policy and the applicable laws and regulations of the Republic of Indonesia.
Intellectual Property Rights. All intellectual property rights, including but not limited to copyrights, trademarks, designs, source code, user interface (UI/UX), layouts, icons, visual components, graphic elements, features, and any other materials forming part of or related to Vidio Shopping, shall remain the exclusive property of Vidio and/or Vidio’s licensors. Nothing in these Vidio Shopping Terms shall be construed as granting you any right, license, permission, or consent to copy, distribute, modify, or otherwise use any intellectual property belonging to Vidio or the Partner for any purpose without Vidio’s prior written consent.
Language. These Vidio Shopping Terms are made available in both Indonesian and English. In the event of any discrepancy between the Indonesian and English versions, the Indonesian version shall prevail, and any differences in the English version shall be deemed to be automatically amended to conform with the Indonesian version.
Amendments. These Vidio Shopping Terms may be amended from time to time at Vidio’s sole discretion. You are advised to review these Vidio Shopping Terms periodically. By continuing to access and/or use Vidio Shopping after any amendments are made, you shall be deemed to have read, understood, and agreed to the amended terms.
Disclaimer. Vidio Shopping feature is provided on an “as is” basis. Vidio does not warrant the availability, functionality, or continuous performance of the feature. You agree that Vidio shall not be liable for any losses arising from any modification, removal, or replacement of the Vidio Shopping feature under any circumstances, which may be carried out by Vidio at any time without prior notice.
